This Non-Disclosure Agreement ("Agreement") is entered into and becomes effective as of the date below, between:

2.2 Exceptions. These restrictions do not apply to information that: a) Is in the public domain; b) Was known to the Receiving Party before receipt from the Disclosing Party; c) Becomes publicly available without fault on the part of the Receiving Party.

3. RETURN OF INFORMATION:

Upon the termination of collaboration or upon the request of the Disclosing Party, the Receiving Party agrees to return or destroy all confidential information and related documents.

4. TERM OF AGREEMENT:
